There
can be situations, where a company may feel that they need some changes in
their corporate structure to get out of the trouble or to become more
profitable in a competitive market. So, when companies opt for such changes of
various kinds, they are actually involved in corporate restructuring. The
important thing for a company is to choose an appropriate plan for its
restructuring so that they can gain benefits, which they are looking for. If a
company is not so sure about its restructure plan, and does not perform it with
proper planning, then it can be a disaster for them. In the process of
corporate restructuring, a company has to keep three key challenges in mind
such as design, execution and marketing. A company has to define its actual business
problem or the real opportunity for the restructuring plan to be successful;
otherwise it is not a considerable option to choose without any proper thinking
and planning for any company (Gilson 2001)
As mentioned above that a company
may opt for corporate restructuring due to an existing business problem or when
they see an opportunity to be grabbed. So, there can be various ways to do restructuring
and reorganizing of a company, and one considerable way is through mergers and
acquisitions. Mergers and acquisitions are one of the common ways of doing
corporate structuring. A company can gain growth and economic boost with such
steps. The economic benefits are many for a company, when it opts for merger or
acquisition such as risk diversification, economies of scale, enhancing
competitive capabilities etc. a company may need new technology or resources to
operate and they can quickly get it by doing mergers and acquisitions. So, it
shows that mergers and acquisitions can be critical for the success of
corporate restructuring process (Udoidem and Acha 2012). In this case study
analysis, the focus would be on Pfizer’s mergers with Warner-Lambert and Pharmacia.
It will be analyzed in detail that why these mergers were done, and what was
achieved by the companies through these mergers.
